UK corporate advisory.
The records of a Ltd company are public at Companies House and must be kept up to date. Changes of director, shareholder and address, the annual confirmation statement and closure processes are handled by the team that carries out the formation.
- Most changes are notified within 14 days
- A director does not need to live in the United Kingdom
Situations Where the Service Is Required.
Every procedure affecting the company's register entry falls within this service. The six most common situations:
Change of director
Appointments and resignations are notified within 14 days; the identity of the new director is verified beforehand.
Issue of new shares
An issue of shares is notified within one month; the list of shareholders is updated in the confirmation statement.
Change of person with significant control
Where a holder of more than 25% of the shares or voting rights (a PSC) changes, the period is 14 days.
Change of registered address
The new address must be a physical address in the United Kingdom; it takes effect once entered on the register.
Change of name or articles of association
These changes require a resolution of the shareholders; the resolution is prepared by us.
Closing the company
A company that has not traded for three months may be struck off the register; if the conditions are not met, liquidation is used.
Company Structure Suited to Your Activity.
A single company structure is suitable for most activities. A second country is added to the structure only where your activity requires it.
Director and shareholder
At least one director and one shareholder are required; they can be the same person.
Registered office
A physical address and a registered email address in the United Kingdom are mandatory; a PO box is not accepted.
Tax is assessed separately
Forming a company does not by itself provide a tax advantage; the outcome depends on your residence.

Our Way of Working.
The process has five steps. The entry is made by Companies House; preparation and follow-up are carried out by us.
Assessing the current position
The company's current entry on the register, the change to be made and the reason for it.
Identifying the required procedure
The required notification, whether a shareholders' resolution is needed and the start of the period are determined.
Preparing the resolution and documents
The resolution and the information needed for the notification are collected in a single list.
Making the notification
The notification is submitted to Companies House within the period.
Checking the register entry
Once the entry has been updated, you are informed; the company's records are also updated.
Related Services.
A change on the register often affects accounting, tax and banking processes as well.
Frequently Asked Questions.
It covers the structural procedures of a Ltd company after formation: changes of director, shareholder and person with significant control, the registered address, the confirmation statement, resolutions and, where necessary, striking off.
No. A director does not need to live in the United Kingdom. The company must have a registered office address in the United Kingdom.
It is the statement that confirms to Companies House, at least once every 12 months, that the company's details are correct. If it is not filed, a penalty may be imposed and the company may be struck off the register.
A person who holds more than 25% of the shares or voting rights in the company. These persons are notified to Companies House; the period for a change is 14 days.
It has been mandatory for directors and persons with significant control since 18 November 2025. People living abroad complete the verification through GOV.UK One Login or through an authorised corporate service provider.
A company that has not traded in the last three months, has not changed its name and is not in an arrangement with its creditors can apply to be struck off the register. Once struck off, access to the company's bank account also ends; if a company does not meet the conditions, liquidation is used.
Not by itself. Forming a company does not bring an automatic tax advantage; if the activity is managed from your country of residence, where the company will be treated as resident is assessed separately.
No fixed price is stated, as the scope varies with the procedure. After a meeting, a quotation is provided, with official fees shown on a separate line.
